1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

2. Description of Service

SunFelt provides a software-as-a-service (SaaS) analytics platform designed for cross-border e-commerce sellers. The Service aggregates data from multiple marketplaces, advertising platforms, and logistics providers to deliver unified analytics, profitability tracking, inventory monitoring, and business intelligence. We may update, modify, or discontinue features of the Service at any time, with reasonable notice for material changes.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that your account information remains accurate and up to date

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unauthorized purposes.

4. Subscription and Payment

The Service is offered on a subscription basis. By subscribing, you agree to the following:

• Billing Cycle: Subscriptions are billed on a monthly basis unless otherwise specified in your subscription plan. Fees are charged at the beginning of each billing period.
• Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings.
• Price Changes: We may adjust subscription pricing with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
• Refunds: Subscription fees are non-refundable except as required by applicable law or as explicitly stated in a separate agreement.
• Taxes: You are responsible for all applicable taxes, duties, and governmental fees associated with your use of the Service.

5. Intellectual Property

The Service, including its software, design, text, graphics, logos, and all related intellectual property, is owned by SunFelt and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service other than a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on the Service without our prior written consent.

6. Data Ownership

You retain full ownership of all data you submit to or generate through the Service ("Customer Data"). By using the Service, you grant SunFelt a limited license to access, process, and display your Customer Data solely for the purpose of providing and improving the Service.

We will not sell, share, or use your Customer Data for any purpose other than delivering the Service, except in aggregated and anonymized form that cannot identify you or your business. Upon termination of your account, you may request an export of your Customer Data within 30 days, after which we may delete it from our systems.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for competitive intelligence or to build a competing product
• Resell, sublicense, or redistribute the Service without authorization

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUNFELT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO SUNFELT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Indemnification

You agree to indemnify, defend, and hold harmless SunFelt, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through your account settings. We may suspend or terminate your access to the Service immediately if:

• You breach any provision of these Terms
• Your payment method fails and is not resolved within a reasonable period
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware. Both parties consent to the personal jurisdiction of such courts.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after any modifications constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
